Cryptocurrency property transactions in the United States are legal, regulated, and becoming more common. Here is what every buyer and seller needs to understand.

§ 01 / FEDERAL

IRS property classification

The IRS treats cryptocurrency as property, not currency, under Notice 2014-21. When a buyer uses crypto to purchase real estate, the IRS considers it a taxable exchange — the buyer recognizes a capital gain or loss on the disposed crypto based on its cost basis and fair market value at the time of the transaction.

For sellers who accept crypto directly, the fair market value of the received coins at closing becomes the cost basis and is reported as ordinary income or capital proceeds.

§ 02 / AML

FinCEN & MSB rules

Any entity that converts cryptocurrency to fiat on behalf of third parties is classified by FinCEN as a Money Services Business (MSB) under 31 CFR §1010.100(ff). Blackridge operates as a registered MSB subject to the full Bank Secrecy Act framework.

All transactions require KYC verification, source-of-funds documentation, OFAC sanctions screening, and wallet risk scoring via Chainalysis or Elliptic.

§ 03 / STATE

State-by-state MTL

Real estate transactions are governed at the state level. Every state Blackridge operates in accepts cryptocurrency-funded closings, provided the transaction passes through a licensed title company and the conversion entity holds state money transmitter licensure where required.

Florida, Texas, and Wyoming have passed crypto-friendly legislation explicitly recognizing digital assets as acceptable property-sale consideration.

§ 04 / TAX STRATEGY

1031 exchange eligibility

Under the 2017 Tax Cuts and Jobs Act, §1031 like-kind exchanges are restricted to real property. Cryptocurrency is not eligible for 1031 deferral — selling crypto to fund a property purchase is a taxable event.

Advanced buyers use crypto-backed loans (Ledn, Nexo, Galaxy) to preserve their digital asset position while deploying fiat-equivalent capital into property — effectively deferring the disposal tax event.

§ 05 / FOREIGN BUYERS

FIRPTA & reporting

Non-US buyers using cryptocurrency to acquire US real estate remain subject to the Foreign Investment in Real Property Tax Act (FIRPTA). At closing, 15% of gross sale price is typically withheld by the title company unless the buyer qualifies for a treaty exemption or reduced rate.

International buyers should obtain a US ITIN prior to closing. Blackridge's compliance team coordinates this documentation.

Title insurance & crypto closings

Major underwriters — First American, Fidelity National, Stewart, Old Republic — now issue title insurance on crypto-funded transactions, provided funds pass through a compliant escrow and the title company receives USD at disbursement.

Standard owner's and lender's policies are issued at closing, alongside the on-chain transaction record.

Both parties complete identity verification through our institutional KYC provider. Connected wallets are screened against OFAC and Chainalysis risk databases. Source-of-funds documentation is recorded and retained.

Purchase contract is executed. If crypto-to-fiat settlement is selected, the conversion rate is locked for the agreed closing window, protecting the seller from volatility.

Escrow deposit
Buyer sends the deposit (typically 10%) to the Blackridge multi-sig escrow address. Funds are held in cold storage by our licensed custody partner.

Due diligence
Standard luxury-market inspection period. Title insurance issued. Survey completed. Contingencies resolved within the agreed timeline.

Transfer & conversion
Balance is tendered to escrow. On Track B, Blackridge executes the conversion through institutional OTC desks at the locked rate. Seller receives USD wire; buyer receives executed deed.

Recording & closing
Deed is recorded with the county. Keys are released. Full audit trail — both on-chain hashes and traditional HUD-1 — is delivered to all parties and archived.
